Most owners have no idea what their life's work is actually worth.
We advise owners on selling, buyers on acquiring, and both sides on getting ready for it.
From owner-managed businesses to corporate groups, in the German-speaking region
and beyond.
Depending on where you stand: you want to sell, you want to buy, or you first want to
get your company into a shape where either is worth doing. From the first valuation
range to the signature at the notary.

We take your company to the market without customers, competitors or staff finding

Value creation
The best time to make a company sellable is two to three years before the sale.
The second best is today.
Reduce dependency on the owner
Build a second layer of management
Make numbers, contracts and processes hold up
Defuse customer concentration and risk
The gap
What you see every day. And what a buyer pays for.
What has become normal to you over the years turns into a discount for the buyer.
He is not paying for the past. He pays for whatever keeps running without you.
Visible day to dayRelevant to valuation
Revenue and profit
Sustainable, transferable earnings
A full order book
Recurring revenue and contracted volume
Long-standing customers
A customer base without concentration risk
A team that works well together
A second management layer that decides without you
Routines everyone carries in their head
Documented processes that survive review
The gap between the two columns is the discount a buyer builds into the price.
That gap can be closed – but not once the buyer is already in the
data room.

Deals rarely fall apart over price
They fall apart over financing, over the contract, or over tax. That is why we work
both sides of the table and know the people who carry a transaction in the end –
at home as well as with buyers from abroad.

About us
We come from running businesses ourselves
Mandaa Capital is run by Roman Simschek and
Thomas M. Platzer. Between us we bring more than 20 years of
running our own businesses and over ten years in M&A and company sales.
We have watched good companies sell below their worth because nobody had prepared
them. We have watched owners who were emotionally ready to sell but structurally
unable to. And we have watched buyers pay considerably more for a company that was
cleanly built and genuinely transferable.
M&A know-how usually stays with those who can afford investment banks and the big
audit firms. Everyone else rarely gets the same process, even though the same
purchase agreement gets signed at the end. That is exactly where we work.
